Terms of Service

1. Operator, scope, and eligibility

Jotmor is operated by Husena LLC, 5900 Balcones Drive, Suite 100, Austin, Texas 78731, United States (“Husena,” “Jotmor,” “we,” “us,” or “our”). These Terms govern the Jotmor website, applications, APIs, storage, media processing, search, billing integration, and related services (the “Service”).

You must be at least 18 years old and legally able to enter a contract. If you use the Service for an organization, you represent that you have authority to bind it. The Service is offered only where Jotmor and its providers support the transaction and use.

2. Accounts and access

You must provide accurate information, verify your email address, and protect your password, recovery methods, devices, and authenticator codes. You are responsible for activity under your account except to the extent caused by our breach or applicable law. Notify security@jotmor.com promptly if you suspect unauthorized access.

Accounts are personal and may not be sold, transferred, shared as a service, or used to evade limits. We may close signup or checkout, restrict a jurisdiction, or require additional verification for security, fraud, legal, operational, or provider reasons.

3. The Service

Jotmor stores private notes and supported files and provides lexical, semantic, and AI-assisted organization and search. Processing may include malware screening, conversion, optical character recognition, transcription, description, summarization, embedding, indexing, and reranking. Features, formats, limits, and provider availability may change as the Service develops.

We do not promise a service level, uninterrupted availability, perfect preservation, compatibility, or error-free processing. We may perform maintenance or limit a feature to protect users and the Service. Where practical and required, we will give reasonable notice of a change that materially affects paid access or stored content.

4. Plans and usage limits

Current prices and plan limits appear at /pricing. Free includes 2 GB, Plus 50 GB, Pro 400 GB, and Studio 1 TB of storage, measured in decimal bytes. Free includes 1,500 semantic searches per calendar month and paid plans include 15,000; deterministic lexical search remains available after the semantic allowance.

Monthly AI-processing units reset at 00:00 UTC on the first day of each month and do not roll over. Free includes 25 units, Plus 200, Pro 700, and Studio 1,800. Text and Markdown use no units; an image uses 1 unit; each PDF page or started audio minute uses 2; each started video minute uses 10. Server measurements control. Jotmor does not charge usage overages. Work beyond the allowance may wait until renewal or upgrade.

Images and documents are limited to 50 MB each. Audio and video are limited to 250 MB each on Free and Plus and 2 GB each on Pro and Studio. We may reject unsupported, dangerous, corrupted, mislabeled, or technically unreasonable files. A downgrade does not automatically delete existing content, but new uploads may be blocked until usage is reduced or the plan is upgraded.

5. Your content

As between you and Husena, you retain ownership of notes, files, and other material you submit (“User Content”). You represent that you have the rights needed to submit it and permit the processing described here.

You grant Husena and its service providers a worldwide, non-exclusive, royalty-free license to host, copy, transmit, secure, scan, convert, display to you, OCR, transcribe, describe, summarize, analyze, embed, index, rank, back up, and otherwise process User Content only as reasonably needed to provide, maintain, secure, troubleshoot, and improve your Jotmor service, comply with law, and enforce these Terms. The license ends after deletion from active systems, subject to limited backup, security, legal-hold, and record-retention periods.

We do not sell User Content or use it to train a generalized or publicly available model without a separate affirmative opt-in. We may use deidentified operational statistics that are not reasonably linkable to you to improve reliability and performance.

6. AI and automated results

OCR, transcripts, descriptions, summaries, connections, embeddings, and rankings may be incomplete, inaccurate, biased, offensive, delayed, or unavailable. They are organization and retrieval aids, not statements of fact or professional advice. Independently review results before relying on them.

Do not use automated results as the sole basis for legal, medical, financial, employment, housing, credit, insurance, educational, safety-critical, or other high-impact decisions.

7. Acceptable use

You must not use or help others use the Service to:

• violate law, a court order, a contract, or another person’s rights;
• upload malware, exploitative sexual material, or content that meaningfully facilitates violence, fraud, stalking, harassment, or abuse;
• infringe intellectual-property, privacy, publicity, confidentiality, or data-protection rights;
• access another account without authorization or probe, overload, disrupt, reverse engineer, or bypass security, quotas, or rate limits;
• scrape or resell the Service, operate a competing hosted service, or automate access except through an API we expressly provide; or
• store payment-card data, passwords, authentication secrets, private keys, or government identifiers as ordinary notes or files.

Jotmor is not offered as a HIPAA, GLBA, FERPA, PCI DSS, biometric-identification, government-classified, legal-record, safety-critical, or other regulated compliance system. Do not use it as a regulated system of record or where failure could cause death, injury, deprivation of rights, or significant financial loss.

8. Subscriptions, renewal, and plan changes

Polar is the merchant of record and seller for paid transactions. Polar and its processors collect payment, calculate and remit applicable transaction taxes, issue invoices and receipts, administer renewals, and handle refunds and chargebacks. Husena does not receive complete card numbers. Polar’s checkout terms and privacy disclosures also apply.

Paid subscriptions renew automatically for the selected interval at the price disclosed before authorization until canceled. You authorize Polar to charge the payment method for the initial purchase, renewals, taxes, and approved plan changes. You may cancel through the customer portal. Unless mandatory law requires otherwise, cancellation stops renewal and takes effect at the end of the paid period, with paid access continuing until that date.

Customer-requested plan changes take effect immediately. Polar applies its invoice proration behavior and displays the amount, credit, tax, and effective date before confirmation. Provider records, not a browser redirect, control entitlement. Trialing, active, and past-due subscriptions retain paid access while Polar processes the subscription. Confirmed unpaid, expired-incomplete, ended, or revoked subscriptions return to Free limits.

9. Refund policy

This policy does not limit a non-waivable right under applicable law. Polar may issue or require a refund, reversal, tax adjustment, or chargeback resolution in its capacity as merchant of record. Any refund approved or required through those channels is administered by Polar and recorded against the relevant order. Cancellation remains available independently of a refund request.

10. Security, backups, and exports

We use administrative, technical, and physical safeguards intended to protect the Service, but no system is completely secure. Use multi-factor authentication and keep independent copies of material you cannot afford to lose. Export tools provide account content and customer-facing billing records but exclude authentication secrets, embeddings, proprietary ranking signals, malware findings, and internal security records.

11. Intellectual property and third parties

The Service, software, designs, documentation, and branding other than User Content belong to Husena or its licensors. Husena grants you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose. Jotmor™ and its logo are Husena marks; no trademark license is granted.

The Service depends on third-party hosting, authentication, security, email, media, AI, and billing providers. Their outages, changes, and processing may affect Jotmor. Third-party links do not imply endorsement, and their terms govern your direct use of their services.

12. Suspension, termination, and exit

You may stop using Jotmor, export available data, or request deletion at any time. We may suspend, limit, or terminate access for suspected abuse, security risk, unlawful conduct, non-payment, prolonged inactivity, material breach, provider requirement, or protection of users or the Service. Privacy deletion does not wait for a billing provider response.

A material Terms or Privacy update may require renewed agreement. We ordinarily provide existing users 30 days to accept, export, or delete. After the exit period, the account may be disabled and scheduled for deletion, subject to the Privacy Policy’s limited retention duties.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE HUSENA PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST DATA, PROFITS, REVENUE, BUSINESS, GOODWILL, OR OPPORTUNITY; SERVICE INTERRUPTION; SUBSTITUTE SERVICES; OR SECURITY EVENTS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID FOR JOTMOR DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These provisions do not limit liability or consumer remedies that cannot lawfully be limited.

15. Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless the Husena parties from third-party claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from your User Content, unlawful or unauthorized use, breach of these Terms, or infringement of another person’s rights. This does not apply to the extent caused by Husena’s unlawful conduct or where consumer law prohibits it.

16. Disputes, governing law, and waivers

Before filing a claim, each party will attempt in good faith to resolve it for 30 days after written notice describing the dispute and requested relief. Send notice to legal@jotmor.com and the address in Section 1.

Texas law governs without regard to conflict-of-laws principles, except that mandatory law of your residence may apply. Subject to a non-waivable consumer forum, exclusive venue lies in the state courts in Travis County, Texas, or the U.S. District Court for the Western District of Texas, Austin Division.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES TRIAL BY JURY AND AGREES TO BRING CLAIMS ONLY INDIVIDUALLY, NOT IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION. A claim or remedy for which this waiver is unenforceable is excluded only to that extent.

17. Changes and general terms

We may update these Terms for legal, security, operational, provider, or product changes. Material changes receive reasonable advance notice and renewed agreement where appropriate. Non-material clarifications may take effect when posted. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder stays effective. Failure to enforce is not a waiver.

Neither party is liable for delay caused by events beyond reasonable control. You may not assign these Terms without written consent; Husena may assign them with a merger, financing, reorganization, sale, or Service operation. These Terms, the Privacy Policy, and purchase disclosures are the entire agreement. Provisions that by nature should survive do so.
