Terms of Service
These Terms are a binding agreement between you and Husena LLC for your use of Jotmor™. Please read them carefully. If you do not agree, do not create an account or use the Service.
1. Operator and scope
Jotmor is operated by Husena LLC, 5900 Balcones Drive, Suite 100, Austin, Texas 78731, United States (“Husena,” “Jotmor,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern the Jotmor website, applications, APIs, media-processing features, search features, and related services (collectively, the “Service”).
Our Privacy Policy explains how we handle personal information. By selecting the agreement control presented during account activation, signup, or a material update, you confirm that you are at least 18 years old, agree to these Terms, and acknowledge the Privacy Policy.
2. Eligibility and accounts
- You must be at least 18 years old and legally able to enter a contract.
- If you use the Service for an organization, you represent that you are authorized to bind it; “you” then includes that organization.
- You must provide accurate account information and keep your credentials, recovery methods, and authenticator codes confidential.
- You are responsible for activity under your account unless caused by our breach of these Terms or applicable law. Notify security@jotmor.com promptly of suspected unauthorized access.
- Access may be private, invite-only, waitlisted, or otherwise limited. An invitation or account is personal and may not be sold or transferred.
3. The Service and beta status
Jotmor lets users create private notes, attach and store supported files, process media, organize information, and search using lexical, semantic, and AI-assisted techniques. Features may include file conversion, malware screening, optical character recognition, transcription, summarization, embeddings, classification, and result reranking.
We may add, remove, limit, or change features and usage limits; perform maintenance; or suspend portions of the Service. We will provide reasonable notice when a change materially affects paid access or stored content, where practical and required by law.
4. Your content
As between you and Husena, you retain ownership of notes, files, and other material you submit (“User Content”). You represent that you have the rights needed to submit User Content and allow the processing described here.
You grant Husena and its service providers a worldwide, non-exclusive, royalty-free license to host, copy, transmit, secure, scan, convert, display to you, OCR, transcribe, summarize, analyze, embed, index, rank, back up, and otherwise process User Content only as reasonably necessary to provide, maintain, secure, troubleshoot, and improve your Jotmor service, comply with law, and enforce these Terms. This license ends when the content is deleted from active systems, except for temporary backups, legal holds, security records, and other limited retention described in the Privacy Policy.
We do not claim ownership of User Content and do not use it to train a generalized or publicly available model without a separate, affirmative opt-in. Feedback and suggestions about Jotmor may be used without restriction or compensation, provided we do not identify you publicly without permission.
5. AI and automated processing
AI-generated descriptions, transcripts, summaries, connections, and rankings may be incomplete, inaccurate, biased, offensive, or misleading. Results are aids for retrieval and organization, not statements of fact or professional advice. You must independently review results before relying on them.
The Service is not intended to make legal, medical, financial, employment, housing, credit, insurance, educational, safety-critical, or other high-impact decisions. You must not use automated results as the sole basis for such decisions.
6. Acceptable use
You must not use, attempt to use, or help others use the Service to:
- Violate law, regulation, court order, contract, or another person’s rights.
- Upload malware, malicious code, illegal content, exploitative sexual material, or content that meaningfully facilitates violence, fraud, harassment, stalking, or abuse.
- Infringe intellectual property, privacy, publicity, confidentiality, or data-protection rights.
- Access another account or system without authorization; probe, scan, disrupt, overload, reverse engineer, bypass, or defeat security, quotas, rate limits, or access controls.
- Scrape the Service, resell access, operate a competing hosted service, remove proprietary notices, or use automated access except through an API we expressly provide.
- Submit payment-card data, passwords, authentication secrets, private keys, or government identifiers for storage as ordinary notes or files.
Not a regulated system
Jotmor is not designed or offered as a HIPAA, GLBA, FERPA, PCI DSS, biometric-identification, legal-record, government-classified, safety-critical, or other regulated compliance system. Do not use it as the system of record for regulated workloads or where a failure could cause death, personal injury, significant financial loss, or deprivation of rights. Ordinary private notes may contain personal or sensitive information, but you assume the risks of storing that material in a general consumer beta.
7. Security, backups, and exports
We use administrative, technical, and physical safeguards intended to protect the Service, but no system is completely secure. You should enable multi-factor authentication, keep independent copies of important material, and promptly export content you cannot afford to lose.
Data export is provided as a convenience and portability feature. We do not guarantee that an export contains internal security records, proprietary ranking signals, embeddings, malware findings, deleted data, or information we may lawfully withhold.
8. Fees, taxes, and refunds
Jotmor offers free and paid subscription plans. The price, storage allowance, billing interval, renewal terms, applicable taxes, and any discount are shown before purchase. Paid subscriptions renew automatically for the same interval at the then-disclosed price until canceled. You authorize Polar, acting as merchant of record, and its payment processors to charge the payment method you provide for the initial order, renewals, taxes, and authorized plan changes.
You may cancel through the Polar customer portal. Unless checkout says otherwise or mandatory law requires an earlier result, cancellation stops renewal and takes effect at the end of the paid period; access and plan limits continue through that date. Provider-supported plan changes may be prorated, invoiced immediately, or scheduled for the next period as disclosed before confirmation. If a change is unavailable, cancel and select another plan after the current period.
Polar is the seller of record for paid transactions and handles payment collection, sales tax, invoices, receipts, refunds, and chargebacks. Polar may use Stripe and other processors. Husena does not receive complete card numbers. Polar’s checkout terms and privacy disclosures also apply to the transaction. Except where required by applicable law or expressly stated at checkout, payments are non-refundable and credits have no cash value.
If payment is past due, we may preserve access while the provider retries. If a subscription becomes unpaid, revoked, paused, or ended, the account returns to Free limits. A downgrade never automatically deletes existing content, but uploads are blocked while stored originals exceed the new limit.
9. Intellectual property
The Service, software, designs, documentation, branding, and all related rights other than User Content belong to Husena or its licensors. Subject to these Terms, Husena grants you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose.
Jotmor™ and the Jotmor logo are trademarks of Husena LLC. No trademark license is granted. Third-party names and marks belong to their respective owners.
10. Third-party services
The Service depends on third-party infrastructure, security, authentication, email, and AI providers. Their outages, changes, and processing may affect Jotmor. Links to third-party services do not imply endorsement, and their terms and privacy practices govern your direct use of them.
11. Suspension, termination, and exit
You may stop using Jotmor or request account deletion at any time. We may suspend, limit, or terminate access for suspected abuse, security risk, unlawful conduct, non-payment, prolonged inactivity, material breach, or where needed to protect users, Husena, providers, or the Service.
For a material Terms or Privacy update, we may require renewed agreement. If you decline or do not agree by the stated deadline, normal use will stop. We will ordinarily provide 30 days of exit-only access for export or deletion, after which the account may be disabled and scheduled for deletion. Refunds are unavailable except where required by law.
12. Disclaimers
We do not warrant that content will be preserved, processing or search will be correct, threats will be detected, access will be uninterrupted, or the Service will meet your requirements. Some jurisdictions do not allow certain disclaimers, so those disclaimers apply only to the extent lawful.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUSENA AND THE OTHER HUSENA PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF DATA, CONTENT, PROFITS, REVENUE, BUSINESS, GOODWILL, OR OPPORTUNITY; SERVICE INTERRUPTION; SUBSTITUTE SERVICES; OR SECURITY EVENTS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ALL HUSENA PARTIES ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE AMOUNT YOU PAID HUSENA FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the theory of liability and reflect the allocation of risk on which the Service is offered. They do not limit liability that cannot lawfully be limited, including any non-waivable consumer remedy.
14. Indemnity
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless the Husena parties from third-party claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from your User Content, your unlawful or unauthorized use, your violation of these Terms, or your infringement of another person’s rights. This obligation does not apply to the extent a claim results from Husena’s own unlawful conduct and may not apply to consumers where prohibited by law.
15. Disputes, governing law, and waivers
Before filing a claim, you and Husena will attempt in good faith to resolve it for 30 days after written notice describing the dispute and requested relief. Send notice to legal@jotmor.com and the postal address in Section 1.
Texas law governs these Terms without regard to conflict-of-laws principles, except that mandatory law of your residence may apply. Subject to any non-waivable consumer forum, exclusive jurisdiction and venue lie in the state courts located in Travis County, Texas, or the United States District Court for the Western District of Texas, Austin Division.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES TRIAL BY JURY AND AGREES TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION. If a waiver is unenforceable for a particular claim or remedy, only that claim or remedy is excluded from the waiver.
16. Changes to these Terms
We may update these Terms to reflect legal, security, operational, or product changes. We will post the effective date and a change summary. Clarifications, formatting, contact updates, and other non-material changes do not require renewed agreement. Material changes will receive reasonable advance notice, ordinarily at least 30 days, and renewed agreement where appropriate. Continued use after a non-material update becomes effective constitutes acceptance to the extent permitted by law.
17. General terms
Neither party is liable for delay or failure caused by events beyond its reasonable control. You may not assign these Terms without our written consent; we may assign them in connection with a merger, financing, reorganization, sale of assets, or operation of the Service. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder remains effective. Failure to enforce is not a waiver.
These Terms, the Privacy Policy, and purchase-specific disclosures are the entire agreement about the Service and supersede prior discussions on that subject. Sections that by nature should survive—including ownership, disclaimers, liability limits, indemnity, disputes, and legal-record retention—survive termination.
